1. Acceptance of Terms
These Terms & Conditions (“Terms”) govern access to and use of the website located at
identify.agency (the “Site”) and the marketing, advertising, technology, and practice-growth services provided by iDENTIFY.Agency (“iDENTIFY,” “we,” “us,” or “our”). By accessing the Site, submitting an inquiry, or engaging iDENTIFY for services, you (“Client,” “you”) agree to be bound by these Terms. If you do not agree, do not use the Site or engage our services.
Where a signed Statement of Work, proposal, or service agreement (“SOW”) exists between iDENTIFY and a Client, the SOW governs scope, deliverables, and pricing for that engagement. These Terms apply as the baseline framework across all engagements and fill any gap the SOW does not address. In the event of a direct conflict, the signed SOW controls.
2. About iDENTIFY.Agency
iDENTIFY.Agency is a dental and medical marketing agency built from iOTA Infotech’s 10+ years of digital marketing execution and SmileSecure’s 15+ years operating inside dental practices, with dental doctors advising on strategy. iDENTIFY is a marketing, advertising, and growth-infrastructure provider. iDENTIFY is not a healthcare provider, a practice-management platform, or a HIPAA “covered entity,” and nothing on the Site or in these Terms should be read as clinical, medical, or legal advice.

3. Services
iDENTIFY provides services that may include, depending on the engagement: dental and medical marketing strategy, Google Ads and Meta Ads management, Dental SEO, AI-powered doctor branding and video content, landing page design, patient conversion infrastructure (including OneClickAi and CRM/booking integrations), reputation management and review generation, listings and directory management, blog and content production, and social media management (collectively, the “Services”).
The specific Services, deliverables, timelines, and fees for a given Client are set out in that Client’s SOW. Services described on the Site are illustrative of our general capability and do not constitute an offer to perform unlisted or unscoped work.
4. Client Eligibility & Engagement
Services are offered to dental practices, medical practices, dental support organizations (DSOs), and related healthcare businesses operating in the United States. By engaging iDENTIFY, Client represents that it has the authority to bind the practice or organization on whose behalf it is contracting, and that all information provided to iDENTIFY (practice details, ad account access, branding assets, testimonials, patient-facing content) is accurate and lawfully provided.
5. Fees, Payment & Term
Engagements are month-to-month. iDENTIFY does not require long-term contracts.
No setup fees or hidden retainers are charged beyond what is stated in the Client’s SOW.
Either party may cancel Services with one (1) month’s written notice, as stated in the SOW.
Third-party costs, including but not limited to Google Ads spend, Meta Ads spend, listing/PR placement fees, and software subscriptions (e.g., OneClickAi, CRM tools) are separate from iDENTIFY’s service fees unless the SOW states otherwise, and are billed directly or passed through as specified in the SOW.
Late payment may result in pause of active campaigns, content production, or platform access until the account is brought current.
6. Client Responsibilities
Client agrees to:
- provide timely access to ad accounts, website/CMS, listing profiles, and brand assets needed to perform the Services;
- provide timely feedback and approvals on content, ad creative, and campaigns;
- ensure any patient testimonials, before/after images, or patient-identifying content supplied to iDENTIFY has been obtained with proper patient consent and in compliance with applicable healthcare privacy law; and
- ensure its own advertising complies with applicable state dental/medical board advertising rules, as those rules vary by state and specialty.
7. No Guarantee of Results
Digital marketing outcomes including but not limited to cost per booking, cost per conversion, organic traffic growth, call volume, and patient bookings are influenced by factors outside iDENTIFY’s control, including market conditions, competitor activity, practice reputation, and platform algorithm changes. Case studies, statistics, and results referenced on the Site (for example, results attributed to specific named clients) reflect that client’s actual, verified performance and are not a guarantee of similar results for any other practice.
8. Third-Party Platforms & Tools
Services rely in part on third-party platforms (including Google, Meta, listing directories such as Clutch, and technology partners such as OneClickAi). iDENTIFY does not control, and is not responsible for, the policies, pricing, uptime, or account decisions (including suspensions) of these third-party platforms. Client’s use of such platforms remains subject to that platform’s own terms.
9. Intellectual Property
Upon full payment for the applicable engagement, Client owns the final creative deliverables produced specifically for Client under the SOW (e.g., ad creative, landing pages, blog content, video content). iDENTIFY retains ownership of its underlying tools, templates, frameworks, and methodologies, and may reuse general (non-confidential, non-branded) know-how across other client engagements. Unless Client requests confidentiality in writing, iDENTIFY may reference the engagement and display non-confidential work product in its portfolio, case studies, and new-business materials.
10. Confidentiality
Each party agrees to keep the other party’s confidential business information including strategy documents, ad account performance data, and All unreleased creative materials shall remain confidential, And to use it only for purposes of the engagement. This obligation survives termination of the engagement for a period of two (2) years.
11. Healthcare Compliance & Patient Data Boundary
iDENTIFY is a marketing and growth-infrastructure provider, not a covered entity or business associate under HIPAA, unless a separate signed Business Associate Agreement (BAA) explicitly states otherwise for a specific engagement. Where Services involve lead-capture forms, chat/call handling (e.g., OneClickAi), or CRM/booking integrations that may receive patient inquiry data on Client’s behalf, Client remains responsible for its own compliance obligations under HIPAA and applicable state healthcare privacy law, and for determining whether a BAA is required for that engagement. Client is solely responsible for the content of any patient-facing communications, consent language, and advertising claims reviewed or approved by Client.
12. Limitation of Liability
To the maximum extent permitted by law, iDENTIFY’s total liability arising out of or relating to the Services shall not exceed the fees paid by Client to iDENTIFY in the three (3) months preceding the claim. iDENTIFY is not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost patients, even if advised of the possibility of such damages.
13. Indemnification
Client agrees to indemnify and hold iDENTIFY harmless from claims arising out of: Client’s healthcare advertising compliance obligations, patient consent failures for content supplied by Client, or Client’s breach of these Terms.
14. Termination
Either party may terminate an engagement per the notice period stated in the SOW (default: one month). Upon termination, Client remains responsible for fees and third-party costs incurred through the effective termination date. iDENTIFY will provide reasonable transition support (e.g., handoff of ad account access) for active, paid engagements.
15. Governing Law & Disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising under these Terms will first be addressed through good-faith negotiation between the parties before either party pursues formal proceedings in the courts of Fort Bend County, Texas.
16. Changes to These Terms
iDENTIFY may update these Terms from time to time. Material changes will be reflected by an updated “27/08/26” at the top of this page. Continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.
